01 — Structure and activity review

What happens after incorporation?
Tax, VAT and VIES
Every Cyprus company must apply for a tax identification number within 60 days of incorporation. VAT registration depends on activities, customers, place of supply and turnover; VIES obligations may apply to certain EU business-to-business services.
Ownership and accounting records
Beneficial ownership information must be accurate and up to date. Bookkeeping and document-retention procedures should be in place from the start, including invoices, agreements, statements and evidence supporting transactions.
Tax residence and economic substance
Governance and operational arrangements should reflect where the company is managed, where decisions are made and where principal activities are performed. The appropriate level of substance depends on the company’s actual role.

Beneficial ownership — Newly incorporated Cyprus companies must file their beneficial ownership information with the Beneficial Ownership Register within 90 days of incorporation. The information must be kept accurate and updated whenever a relevant change occurs.
Accounting — Bookkeeping and document-retention procedures should be in place from the commencement of the company’s activities. The company should retain invoices, agreements, bank and payment-provider statements and other evidence supporting its transactions.
Banking and payment accounts — Company incorporation does not guarantee the approval of a bank, EMI, merchant or payment-provider account. Banking, payment-provider and merchant-account onboarding are separate processes, with approval remaining subject to each financial institution’s assessment. Financial institutions may review the company’s ownership, activities, jurisdictions, source of funds, transaction flows, customers, suppliers and operational presence. Preparing a clear corporate structure and supporting documentation from the beginning can improve the quality and consistency of the onboarding application.

Maintenance of accounting records; preparation of annual financial statements and completion of a statutory audit or review, where applicable; corporate income tax returns and payments; VAT and VIES reporting; payroll and employer reporting; and transfer-pricing reporting or documentation where required.

Annual returns and financial statements with the Registrar; beneficial ownership confirmation; corporate records and statutory registers; and notification of changes to directors, shareholders, secretary, registered office or share capital. A physical visit is not normally required for incorporation itself where KYC and signed documents can be completed remotely. It may be useful or required for particular banking, immigration or operational arrangements.

A Cyprus private company must have at least one director. However, there is no general legal requirement for the director to be resident in Cyprus. The company’s incorporation requirements and tax residence position are separate considerations. A company will generally be considered tax resident in Cyprus where its management and control are exercised in Cyprus. Where this is the intended position, the directors should have genuine authority and exercise effective decision-making from Cyprus. Factors such as the tax residence of the directors, the location of board meetings and where important commercial decisions are made should support this position.
