How does territorial taxation work for a Seychelles IBC?
A Seychelles IBC is not automatically exempt from tax simply because it is an IBC. Instead, Seychelles applies a territorial approach to business taxation. Income arising from business activities conducted in Seychelles may be subject to Seychelles business tax, while income arising from activities genuinely conducted outside Seychelles may be treated as non-Seychelles-source business income. The practical result can therefore be no Seychelles business tax on qualifying foreign-source business income.
The analysis must consider what activities generate the company’s income, where those activities are actually performed, where connected goods, assets or rights are situated, whether the company receives passive foreign income, whether it carries on activities in Seychelles and whether another jurisdiction may claim taxing rights.

Key Seychelles IBC requirements
A Seychelles IBC will normally require at least one shareholder, at least one director, a registered office in Seychelles, a licensed registered agent, Memorandum and Articles of Association, an appropriate share structure, registers of members and directors, beneficial ownership records, and proper corporate and accounting records.
The shareholder may generally be an individual or corporate entity and there is no general requirement for the shareholder or director to reside in Seychelles. A company secretary is not generally required solely as a condition of incorporating a standard Seychelles IBC. Seychelles IBC incorporation process
01 — Business and territorial tax review

04 — Preparation and incorporation
The incorporation documents are prepared and submitted through an International Corporate Service Provider licensed by the Seychelles Financial Services Authority. Incorporation is typically completed within three to seven working days, subject to satisfactory KYC.
What happens after incorporation?
Company incorporation is only the first stage. The company’s activities should continue to reflect the intended territorial tax position in practice. Where it is intended to generate non-Seychelles-source business income, appropriate records should demonstrate the activities performed, customers served, contracts entered into and jurisdictions involved.
Beneficial ownership and accounting records
Maintain accurate beneficial ownership information and appropriate accounting records, including invoices, agreements, bank and payment-provider statements, corporate resolutions and supporting transaction documentation. Records should generally be retained for at least seven years.
Tax exposure outside Seychelles
Seychelles tax treatment does not determine treatment in other countries. Tax residence, management and control, permanent establishment, controlled foreign company rules, dividend taxation and shareholder reporting obligations must be considered separately.

A Seychelles IBC must be properly maintained after incorporation.
